1. Acceptance of Terms

By accessing or using the services provided by meo.studio ("we," "us," "our," or the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and meo.studio. We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a revised "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

2. Description of Service

meo.studio provides a generative AI platform that enables users to create video content from text prompts and reference images. The Service includes, but is not limited to:

  • Text-to-video generation
  • Image-to-video generation
  • AI-powered video editing and enhancement
  • AI-powered content optimization features

3. Eligibility and Age Requirements

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If we learn that a user under the age of 18 is using the Service, we will terminate that user's account and delete associated data as required by applicable law.

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

5. User Content and Intellectual Property

5.1 Your Content

"User Content" means any content you upload, submit, or provide to the Service, including but not limited to reference images, text prompts, and any other input materials.

You retain ownership of any User Content to which you hold rights prior to uploading it to the Service.

5.2 Generated Outputs

"Generated Outputs" means any videos, images, or other content produced by the Service based on your User Content and inputs.

5.3 License Grant to meo.studio

By uploading User Content or using the Service to create Generated Outputs, you grant meo.studio a perpetual, irrevocable, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, analyze, create derivative works from, and otherwise exploit your User Content and Generated Outputs for the following purposes:

  • Operating, maintaining, and providing the Service
  • Improving and enhancing the Service and its features
  • Training, developing, and refining our underlying artificial intelligence and machine learning models
  • Conducting research and development related to generative AI
  • Analyzing usage patterns and content to improve service quality
  • Any other purpose related to the operation and improvement of meo.studio's products and services

This license survives termination of your account or these Terms. This means that even after you stop using the Service or delete your account, meo.studio retains the right to use content previously submitted or generated through the Service for the purposes described above.

5.4 Representations Regarding User Content

By submitting User Content, you represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to submit the User Content
  • Your User Content does not infringe upon the intellectual property rights of any third party
  • You have obtained all necessary consents from any individuals depicted in your User Content

5.5 Third-Party AI Service Providers

By uploading User Content (including reference images) to the Service, you acknowledge and agree that your content may be processed by third-party artificial intelligence and machine learning service providers as part of delivering, improving, and personalizing the quality of the Service. These third-party providers are bound by contractual obligations to protect your data and may only process it for the purposes of providing services to meo.studio. meo.studio does not sell your personal data to any third party.

6. Data Collection and Retention

meo.studio collects and indefinitely retains the following data:

  • User-uploaded reference images
  • Text prompts submitted to the Service
  • Generated videos and other outputs
  • Usage metadata, including but not limited to timestamps, session information, video selections, generation parameters, device information, and interaction logs

This data is retained to operate, improve, and train our services, including our underlying artificial intelligence and machine learning models. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.

7. Acceptable Use Policy

You agree not to use the Service to:

7.1 Prohibited Content

  • Generate, upload, or distribute content that is sexually explicit, pornographic, or obscene (NSFW content)
  • Create content depicting or promoting violence, gore, or cruelty
  • Generate content that exploits, harms, or endangers minors in any way
  • Produce content that constitutes or promotes hate speech, discrimination, or harassment
  • Create deepfakes or manipulated media intended to deceive, defraud, or harm individuals

7.2 Prohibited Activities

  • Use the Service for any illegal purpose or in violation of any applicable law or regulation
  • Infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Attempt to reverse-engineer, decompile, or extract the underlying models, algorithms, or source code of the Service
  • Circumvent or attempt to circumvent any security measures, access controls, or usage limits
  • Use the Service to generate spam, phishing content, or malware
  • Resell, redistribute, or commercially exploit the Service without prior written authorization
  • Introduce viruses, malware, or other harmful code to the Service
  • Interfere with or disrupt the integrity or performance of the Service

7.3 Enforcement

meo.studio reserves the right to review content generated through the Service and to remove any content or suspend or terminate any account that violates these Terms, at our sole discretion and without prior notice.

8. Service Availability and Modifications

  • The Service is provided on an "as available" basis. We do not guarantee uninterrupted or error-free operation.
  • We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
  • We are not liable for any modification, suspension, or discontinuation of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF GENERATED OUTPUTS.
  • MEO.STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • IN NO EVENT SHALL MEO.STUDIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU PAID TO MEO.STUDIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
  • MEO.STUDIO DOES NOT WARRANT THAT GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, RELIABLE, OR FREE FROM ERRORS OR HARMFUL CONTENT. YOU USE GENERATED OUTPUTS AT YOUR OWN RISK.

10. Indemnification

You agree to indemnify, defend, and hold harmless meo.studio and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of any third party

11. Termination

  • You may terminate your account at any time by contacting us or using the account deletion feature, if available.
  • We may suspend or terminate your account at any time, with or without cause, and with or without notice.
  • Upon termination, your right to use the Service ceases immediately.
  • Sections that by their nature should survive termination shall survive, including but not limited to: Section 5.3 (License Grant), Section 6 (Data Collection and Retention), Section 9 (Limitation of Liability), Section 10 (Indemnification), and Section 12 (Governing Law).

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree to waive any right to a jury trial and to participate in a class action lawsuit or class-wide arbitration.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and meo.studio regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of meo.studio to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
